Terms of Service

These Terms of Service ("Terms") form a binding agreement between you and Nivalmi Consulting ("Nivalmi", "we", "us") governing your access to and use of the Nivalmi Zookeeper platform, the Zoo Insights assessment, and any related services (collectively, the "Service"). By creating an account, purchasing credits, or otherwise using the Service, you agree to these Terms.

1. Eligibility & accounts

You must be at least 18 years old and have authority to bind the organization on whose behalf you are acting. You are responsible for all activity under your account and for keeping your credentials secure. Notify us immediately of any unauthorized use.

2. Roles & responsibilities

Workspaces support multiple roles (executor, manager, facilitator, viewer, super-admin). The executor of a company is the contracting party and is responsible for the actions of users they invite, the accuracy of participant data they submit, and obtaining any consents required for participants to complete assessments.

3. Credits & payments

• Assessment credits are sold in one-time packs. Pricing, taxes, and available pack sizes are shown at checkout.
• Credits are non-refundable once issued, except as required by law or expressly stated by us in writing. Credits have no cash value and are not transferable between companies.
• Payments are processed by Stripe. By purchasing, you accept Stripe's terms in addition to ours.
• We may suspend or revoke credits obtained through fraud, chargeback, or breach of these Terms.

4. Assessment content & reports

The Zoo Insights assessment, its questions, scoring methodology, animal archetypes, report templates, and all related materials are the intellectual property of Nivalmi and its licensors. You receive a limited, non-exclusive, non-transferable license to use generated reports for internal coaching, development, and team-effectiveness purposes within your organization. You may not resell, republish, or use reports to build a competing product.

5. Acceptable use

You agree to use the Service only for lawful purposes and in accordance with our Acceptable Use Policy. In particular, you must not assess individuals without their knowledge, use the Service to make employment decisions in ways that violate applicable law, or attempt to reverse-engineer the assessment.

6. Service availability

We aim for high availability but do not guarantee uninterrupted access. We may modify, suspend, or discontinue features with reasonable notice where practicable. Scheduled maintenance and third-party outages (including the underlying 24x7 assessment platform) may temporarily affect the Service.

7. Confidentiality of results

Individual assessment results are confidential and visible only to participants and to authorized users within the participant's company in accordance with the access controls we provide. You are responsible for configuring roles and team memberships appropriately and for handling results in line with applicable privacy and employment laws.

8. Disclaimers

THE SERVICE AND ASSESSMENT REPORTS ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Reports are intended for development and reflection; they are not psychological diagnoses, medical advice, or a substitute for professional judgment. You are solely responsible for decisions made on the basis of reports.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA. OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD 100.

10. Indemnification

You will defend and indemnify Nivalmi against third-party claims arising from (i) your or your users' breach of these Terms, (ii) participant data you submit, or (iii) your use of reports to make decisions in violation of law.

11. Termination

You may stop using the Service at any time. We may suspend or terminate your access for material breach, security risk, non-payment, or fraud. Sections that by their nature should survive (IP, payment, disclaimers, liability, indemnity, governing law) survive termination.

12. Changes

We may update these Terms from time to time. If changes are material, we will notify you in-product or by email. Continued use after the effective date constitutes acceptance.

13. Governing law

These Terms are governed by the laws of the jurisdiction in which Nivalmi Consulting is established, without regard to conflicts of law rules. The courts of that jurisdiction have exclusive jurisdiction over disputes, unless mandatory consumer-protection law provides otherwise.
